Primary Responsibilities & Attitude
We are currently seeking a Corporate Trust Senior Associate to join our team. The successful candidate will be based in Calgary, Vancouver or Toronto.
The Corporate Trust Senior Associate will be an integral part of our Corporate Trust division. They will report to the Managing Director, Corporate Trust, and be responsible for the administration of Corporate Trust appointments and engagements, including communicating with and assisting our clients’ management teams, counsel, and securityholders. This will involve understanding our fiduciary duties and covenants as a trustee under various appointments, coordinating required documentation for various closings, adherence to compliance, and an in-depth understanding and ability to process Corporate Trust transactions.
The Corporate Trust Senior Associate will be detail-oriented, highly organized, and confident working both independently and collaboratively. A strong interest in legal agreements and operational processes is essential. Previous experience working as a lawyer or articling student or in a legal environment is considered a significant asset.
Primary Responsibilities:
Director Support:
· Primarily assisting supervising Managing Director with review of operating documents for the various business units and monitor/oversee assigned inbox.
· Assist in managing and administering the everyday workflow of the Corporate Trust division, ensuring all administrative tasks are completed accurately and on time.
· Organize and maintain detailed records of transaction documentation, correspondence, and internal approvals.
· Coordinate with internal departments, including finance, to schedule and confirm incoming/outgoing wires, ensuring all supporting documents are present.
Compliance & Onboarding Support:
· Support the client onboarding process by collecting, reviewing, and verifying all required documentation in accordance with Know Your Customer (KYC), Anti-Money Laundering (AML), and Anti-Terrorist Financing (ATF) policies.
· and ensure timely escalation of any discrepancies or missing information.

· Liaise with compliance and legal teams to ensure all regulatory requirements are met and documented.
· Supporting the fostering of a culture of compliance with policies, procedures and regulations, including assisting the Director with implementing regular training on processes and other resources to ensure all team members understand regulatory and procedural compliance as it applies to their job function as set out in the standard operating procedures.
Securities Administration:
· Communicate with our clients, as well as their counsel and securityholders on a regular basis.
· Prepare and review documentation related to securities transactions, ensuring accuracy and compliance with governing agreements.
Backoffice Support:
· Maintain comprehensive and organized records under various corporate trust appointments, including ongoing documentation and compliance requirements.
· Assist in the issuance and administration of securities, including processing warrant exercises, note conversions, interest payments, and tax filings.
· Support the preparation and reconciliation of month-end corporate trust billing, ensuring accuracy and timely submission.
· Perform regular audits of internal records and systems to ensure data integrity and compliance with internal controls.
· Provide general administrative support including document formatting, data entry, file management, and responding to internal and external inquiries.
· Assist with month-end corporate trust billing and keep up to date on accounts receivable.
· Display leadership among the team, assisting with training and leading group projects.
· Troubleshoot simple inquiries and handle escalations, depending on the severity.
· Other duties as required
Skills and Experience:
· University degree (particularly a law related focus) or diploma
· Knowledge of Corporate Trust or experience as a paralegal is an asset
· Experience in finance, banking or trust companies is an asset
· Ability to support a team within a busy work environment with changing priorities
· Ability to work as a team and independently

Compensation
$55,000.00 - $75,000.00 per year
